User Agreement

THIS USER AGREEMENT ("Agreement") is a contract between you ("User", "you", or "your") and Life Network ("we", "us", "our", or "Life Network") that governs your access and use of our services, websites, and applications (collectively, the "Services"). By using the Service, you agree to be bound by this Agreement.

1. ACCEPTANCE OF TERMS. By accessing or using our Services, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

2. CHANGES TO AGREEMENT. Life Network reserves the right, at our sole discretion, to modify or replace this Agreement at any time. We will provide notice of any significant changes by sending an email to the email address you provided to Life Network during account creation. This notice will be sent in a reasonable advance of the changes taking effect and will indicate at the top of the Agreement when it was last revised. Continued use of the Services after any such changes shall constitute your consent to such changes.

3. ELIGIBILITY AND ACCESS TO THE SERVICES.

1. Age Requirement. No one under the age of 16 is allowed to use or access the Services. Life Network may offer additional Services that require a higher minimum age, and these requirements will be specified in relevant notices or Additional Terms associated with such Services.
2. Representation of Age and Capacity. By using the Services, you confirm that you are at least 16 years old and meet the minimum age requirement prescribed by the laws of your country of residence for accessing and using the Services. If you are over 16 but under the age of majority in your jurisdiction, you affirm that your legal guardian has reviewed and agrees to these Terms. Furthermore, you declare that you are not barred from using the Services under any applicable laws and have not been previously suspended or removed from the Services.
3. Legal Entity Representation. If you are accepting these Terms on behalf of a business, organization, or other legal entity, you represent and warrant that you possess the full legal authority to bind such entity to these Terms. By doing so, you ensure that the entity adheres to all aspects of this Agreement.

4. USER ACCOUNTS.

1. Account Creation. To access certain features of the Services, you must create an account (an “Account”) with accurate and complete information. You are responsible for ensuring that all information provided during Account creation and thereafter is correct and up-to-date at all times. This includes, but is not limited to, your contact details, email address, and any other personal information required by Life Network. You agree to promptly update your account information in the event of any changes to ensure its accuracy.
2. Account Responsibility. You are responsible for maintaining the confidentiality of your Account information and are fully responsible for all activities that occur under your Account. You agree to immediately notify Life Network of any unauthorized use of your account or any other breach of security.

5. USER CONDUCT AND RESPONSIBILITIES.

1. Compliance. You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Services and will not use the Services for any illegal or unauthorized purpose.
2. Prohibited Conduct. You may not use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use and enjoyment of the Services. You agree not to use any automated system, including but not limited to “robots,” “spiders,” or “offline readers,” that accesses the Services in a manner that sends more request messages to the Life Network servers than a human can reasonably produce in the same period.

6. CONTENT OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS.

1. Your Content. You retain all your ownership rights to any text, files, images, photos, video, sounds, or other materials you submit, post, or display on or through the Services ("Your Content"). However, by submitting Your Content on the Services, you hereby grant Life Network a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content in connection with the Services and Life Network's business.
2. Life Network Content. Except for Your Content, all content on the Services, including but not limited to the design, structure, selection, coordination, expression, and arrangement of such content, is owned by or licensed to Life Network and is protected by copyright, trademark, and other intellectual property laws.
3. Restrictions On Use. You agree not to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, or exploit Life Network's content in any unauthorized way, including by unauthorized recording or rebroadcasting, without express consent from Life Network. Specifically, you may not share exclusive content like the 'Life Hacker' series, masterclass sessions, or expert-led podcasts with non-members or on public platforms.
4. Content Sharing. While we encourage community building and interaction, sharing of content within the platform should be done with respect for the intellectual property rights of Life Network and its content creators. You may share insights and general information gained from the Services within the community, but you must refrain from distributing copies of specific content like videos, audios, or detailed written materials.
5. Acknowledgement of Rights. You acknowledge that any unauthorized use of Life Network’s content may result in termination of your access to the Services, legal action against you, and potential liability for damages.

7. PROHIBITED CONDUCT. In using or accessing the Services provided by Life Network, you must not engage in the activities listed below (collectively, "Prohibited Conduct"):

1. Service Interference. You are prohibited from using the Services in any manner that could disrupt, damage, disable, overburden, or impair the functioning or appearance of the Services, including the servers and networks associated with the Services.
2. Unauthorized Access. Attempting to gain unauthorized access to any user accounts or non-public areas of the Services, including Life Network's computer systems and networks, is strictly forbidden.
3. Distribution of Malicious Software. You must not upload, transmit, or distribute to or through the Services any viruses, worms, malware, or other harmful code designed to interfere with the Services, including their security features.
4. Legal and Intellectual Property Violations. Using the Services to violate any applicable law or infringe upon the intellectual property rights, privacy rights, or other proprietary rights of any person or entity is not allowed.
5. Data Harvesting and Scraping. Any form of automated data collection, searching, or scraping from the Services, except as explicitly permitted by these Terms or through a separate agreement with Life Network, is prohibited. Automated data collection must adhere to the guidelines set forth by Life Network, and scraping of the Services without explicit written consent from Life Network is forbidden.
6. Abusive and Fraudulent Use. Any usage of the Services that Life Network reasonably believes to be abusive, fraudulent, or intended to defraud other users or the Services themselves is strictly prohibited.
7. Promotions. You are prohibited from using the Services to conduct any form of promotion, including contests, sweepstakes, or any other promotional activities (“Promotions”). This prohibition extends to both public and private use of the Services. Any attempt to conduct Promotions via the Services will be considered a violation of this Agreement and may result in immediate termination of your account and access to the Services.

8. PRIVACY POLICY. Your use of the Services is also governed by our Privacy Policy, which outlines how we collect, use, disclose, and safeguard the information you provide when you access or use our Services. The Privacy Policy can be found at https://go-life-network.com/legal/privacy-policy.

9. SERVICE MODIFICATIONS AND AVAILABILITY. Life Network continuously evolves and innovates the Services. We may, without prior notice, change the Services, stop providing the Services or features of the Services, or create usage limits for the Services. We may permanently or temporarily terminate or suspend your access to the Services without notice and liability for any reason, including if, in our sole determination, you violate any provision of this Agreement.

10. FORUMS AND COMMUNITY GUIDELINES.

1. Forum Creation and Management. Users may create and manage forums within the Services, adhering to specific guidelines and policies set forth by Life Network.
2. Community Standards and Conduct. Users are expected to follow established community standards and conduct guidelines. This includes respecting other users and not engaging in harassing, abusive, or disruptive behavior.

11. RIGHTS AND RESPONSIBILITIES OF MODERATION.

1. Moderator Role. The Life Network shall be moderated by employees. Volunteer moderators may oversee forums, subject to the overarching policies and guidelines of Life Network.
2. Moderation and Enforcement. Life Network reserves the right to moderate, alter, or remove content and to restrict or terminate user access for any reason, particularly in cases where users violate this Agreement or community standards.

12. COPYRIGHT, TRADEMARK, THE DMCA, AND TAKEDOWNS.

1. Respect for Intellectual Property. Life Network respects the intellectual property rights of others and requires that users of our Services do the same. We enforce a policy that includes the removal of any infringing material from the Services and, in appropriate circumstances, the termination of users of our Services who are repeat infringers.
2. Reporting Infringements. If you believe that any material on our Services infringes a copyright or a trademark that you own or control, you may notify Life Network by sending an email to support@golifenetwork.com. In your email, please include the following information:
   

• Your contact information, including your full name, mailing address, telephone number, and, if available, email address.
• A description of the copyrighted or trademarked work that you claim has been infringed, or, if multiple works are covered by a single notification, a representative list of such works.
• A description of where the material that you claim is infringing is located on the Services, with enough detail that we may find it on the Services.
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or trademark owner, its agent, or the law.
• A statement by you, made under penalty of perjury, that the above information in your notification is accurate and that you are the copyright or trademark owner or authorized to act on the owner's behalf.
• Your physical or electronic signature.

• Notification Requirements. For the requirements of a proper notification, see 17 U.S.C. § 512(c)(3). Be aware that knowingly misrepresenting that any activity or material on our Services is infringing may subject you to liability for costs and damages incurred by Life Network.
• Response to Infringement Notices. If we remove Your Content due to a copyright or trademark notice, we will notify you via the most current email address associated with your Account. If you believe Your Content was wrongly removed due to a mistake or misidentification in a copyright notice, you can submit a counter notification. This can be done via our Copyright Counter Notice Form or by contacting our Copyright Agent at the address provided above. Refer to 17 U.S.C. § 512(g)(3) for the requirements of a proper counter notification.

13. THIRD-PARTY CONTENT, ADVERTISEMENTS, AND PROMOTIONS.

1. Third-Party Content. The Services may contain links to third-party websites, products, or services, which may be posted by advertisers, our affiliates, our partners, or other users (“Third-Party Content”). Third-Party Content is not under our control, and we are not responsible for any third party’s websites, products, or services. Your use of Third-Party Content is at your own risk and you should make any investigation you feel necessary before proceeding with any transaction in connection with such Third-Party Content.
2. Advertisements. The Services may also contain sponsored Third-Party Content or advertisements. The type, degree, and targeting of advertisements are subject to change, and you acknowledge and agree that we may place advertisements in connection with the display of any Content or information on the Services, including Your Content.

14. INDEMNIFICATION.

1. General Indemnification. To the extent permitted by law, you agree to defend, indemnify, and hold harmless Life Network, its affiliates, officers, directors, employees, agents, and licensors (the “Indemnified Parties”) from any claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Services; (b) your violation of this Agreement; (c) your violation of any laws or regulations; or (d) Your Content. Life Network reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate in such defense.
2. Indemnification for Prohibited Activities. Specifically, you agree to indemnify and hold harmless the Indemnified Parties from any claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from any third-party claims related to your conduct of any prohibited activities as described in Section 7 herein. This includes, but is not limited to, the organization or participation in Promotions. This indemnification applies even if such prohibited activities are conducted without Life Network's knowledge or express consent and extends to any resultant legal action or claim brought against any of the Indemnified Parties as a result of such activities.

15. DISCLAIMERS AND LIMITATION OF LIABILITY. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, LEGAL, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LIFE NETWORK DOES NOT WARRANT THAT THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. LIFE NETWORK DOES NOT CONTROL, ENDORSE, OR TAKE RESPONSIBILITY FOR ANY CONTENT AVAILABLE ON OR LINKED TO THE SERVICES OR THE ACTIONS OF ANY THIRD PARTY OR USER, INCLUDING MODERATORS. WHILE LIFE NETWORK ATTEMPTS TO MAKE YOUR ACCESS TO AND USE OF THE SERVICES SAFE, WE DO NOT REPRESENT OR WARRANT THAT THE SERVICES OR OUR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN NO EVENT WILL LIFE NETWORK, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT WILL LIFE NETWORK'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID LIFE NETWORK, IF ANY, IN THE LAST SIX MONTHS FOR THE SERVICES.

THE LIMITATIONS OF THIS SECTION WILL APPLY TO ANY THEORY OF LIABILITY, INCLUDING THOSE BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF LIFE NETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF ANY REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.

16. GOVERNING LAW. This Agreement and your use of the Services will be governed by and construed in accordance with the laws of the jurisdiction in which Life Network is headquartered, excluding its conflicts of law rules.

17. ARBITRATION AGREEMENT. Any dispute arising out of or in connection with this Agreement or your use of the Services shall be finally settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

18. TERMINATION. Life Network may terminate or suspend your account and access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including, without limitation, if you breach this Agreement.

19. MISCELLANEOUS.

1. Assignment. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Life Network without restriction.
2. Entire Agreement/Severability. This Agreement, together with any amendments and any additional agreements you may enter into with Life Network in connection with the Services, shall constitute the entire agreement between you and Life Network concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.
3. No Waiver. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Life Network's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
